1Acceptance of Terms
By downloading, installing, or using the SyncPlay mobile application and website (collectively, the "Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not use the Service.
These Terms constitute a legally binding agreement between you ("User", "you", or "your") and SyncPlay ("Company", "we", "us", or "our"). We reserve the right to modify these Terms at any time, and such modifications shall be effective immediately upon posting to the Service. Your continued use of the Service constitutes your acceptance of the modified Terms.
2Eligibility
You must be at least 17 years of age to use SyncPlay. By using the Service, you represent and warrant that:
• You are at least 17 years of age.
• You have the legal capacity to enter into a binding agreement.
• You are not prohibited from using the Service under applicable law.
• You will use the Service only for lawful purposes and in accordance with these Terms.
If you are under the age of 18, you must have parental or guardian consent to use certain features of the Service.
3Account Registration
To access certain features of SyncPlay, you must create an account. When registering, you agree to:
• Provide accurate, current, and complete information.
• Maintain the security of your account credentials.
• Promptly update your account information if it changes.
• Accept responsibility for all activities that occur under your account.
• Notify us immediately of any unauthorized use of your account.
You may not share your account with others or create multiple accounts for the purpose of circumventing our policies. We reserve the right to suspend or terminate accounts that violate these Terms.
4Partner Connection
SyncPlay is designed for use between two connected partners. When using the partner connection feature:
• You should only connect with individuals who have consented to connect with you.
• You are responsible for ensuring your partner has agreed to share content within the app.
• You may only have one active partner connection at a time unless the Service explicitly allows otherwise.
• Either party may disconnect from a partner at any time through account settings.
• Upon disconnection, shared content handling will be governed by our Privacy Policy.
5Acceptable Use
You agree to use SyncPlay only for lawful purposes. You must not:
• Use the Service to harass, abuse, threaten, or harm other users.
• Upload, share, or transmit content that is illegal, offensive, defamatory, or infringes on intellectual property rights.
• Attempt to gain unauthorized access to any part of the Service or its related systems.
• Use automated tools, bots, or scripts to access the Service.
• Collect personal data of other users without their explicit consent.
• Use the Service to transmit spam, malware, or other malicious content.
• Reverse engineer, decompile, or disassemble any portion of the Service.
• Use the Service for commercial purposes without our written permission.
• Impersonate any person or entity or misrepresent your affiliation.
6User Content
You retain ownership of content you upload to SyncPlay ("User Content"). By uploading User Content, you grant us a limited, non-exclusive, royalty-free licence to store, display, and process your content solely for the purpose of providing the Service.
You represent and warrant that:
• You own or have the necessary rights to the User Content you submit.
• Your User Content does not violate any third-party rights.
• Your User Content complies with these Terms and applicable laws.
We do not claim ownership of your User Content, and we will not use it for advertising or share it with third parties except as described in our Privacy Policy. We reserve the right to remove any User Content that violates these Terms.
7Privacy
Your use of SyncPlay is governed by our Privacy Policy, which is incorporated into these Terms by reference. Our Privacy Policy explains how we collect, use, and protect your personal information. By using the Service, you consent to our data practices as described in the Privacy Policy.
8Intellectual Property
The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of SyncPlay and its licensors. The SyncPlay name, logo, and related marks are trademarks of SyncPlay. You may not use these marks without our prior written consent.
All software, design elements, graphics, and text on the Service are protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive licence to use the Service for personal, non-commercial purposes.
9In-App Purchases & Subscriptions
SyncPlay may offer paid features, subscriptions, or virtual items ("Premium Features"). By purchasing Premium Features:
• All purchases are final and non-refundable unless required by applicable law.
• Subscriptions automatically renew unless cancelled before the renewal date.
• You may manage or cancel subscriptions through your device's App Store settings.
• Prices are subject to change with reasonable notice.
• We are not responsible for any charges from third-party payment processors.

10Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES INCLUDING BUT NOT LIMITED TO:
• WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
• WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE
• WARRANTIES REGARDING THE ACCURACY OR RELIABILITY OF CONTENT
We do not guarantee that the Service will meet your requirements or that any defects will be corrected. Your use of the Service is at your sole risk.
11Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SYNCPLAY AND ITS AFFILIATES, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM:
• Your use of or inability to use the Service.
• Any unauthorised access to your data.
• Loss of data, profits, or goodwill.
• Any third-party conduct or content.
OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR $100 USD, WHICHEVER IS GREATER.
12Indemnification
You agree to indemnify, defend, and hold harmless SyncPlay, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with:
• Your access to or use of the Service.
• Your violation of these Terms.
• Your violation of any third-party rights.
• Any User Content you submit to the Service.
13Termination
We may suspend or terminate your access to the Service at any time, with or without notice, for conduct that we believe:
• Violates these Terms.
• Is harmful to other users, us, or third parties.
• Is required by applicable law.
You may delete your account at any time through the app settings. Upon termination, your right to use the Service will immediately cease. Provisions that by their nature should survive termination shall survive, including intellectual property rights, disclaimers, and limitations of liability.
14Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with applicable law, without regard to conflict of law principles. Any disputes arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes may be submitted to binding arbitration or the courts of competent jurisdiction.
You agree to waive any right to a class action lawsuit or class arbitration.
15Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of significant changes by:
• Posting a notice within the app.
• Sending an email to your registered email address.
• Updating the "Last Updated" date at the top of these Terms.
Your continued use of the Service after changes take effect constitutes your acceptance of the new Terms. If you do not agree to the revised Terms, you must stop using the Service.
